Terms of use

These terms cover your use of the IEMS website and the IEMS mobile app. Your school’s own agreement with VitalClick Technologies (Pty) Limited governs the service it buys; where the two differ, that agreement wins.

Accepting these terms

Using the site or signing into the app means you accept these terms. If you do not accept them, do not use them — and tell your school, which can give you what you need another way.

Your account belongs to your school

Your school issues your account and decides what it can reach. It can change that, suspend it or close it, and it does not need our agreement to do so. Keep your password to yourself, do not sign in on behalf of anyone else, and tell your school at once if you think someone else has used your account. What is done through your account is treated as done by you.

What you may not do

Do not try to reach data belonging to a learner, a member of staff or a school you have not been given access to. Do not probe, scan or attempt to defeat the platform’s security. Do not scrape it, resell access to it, or automate against it outside the documented API. Do not upload malware, or anything unlawful, harassing or abusive. Do not copy personal information out of the platform for a purpose your school has not authorised — that is your school’s obligation under data-protection law as much as ours.

What is uploaded stays the school’s

Records, documents and messages entered into the platform belong to the school, not to us. We hold them to run the service, as the privacy policy describes. We claim no ownership over them and do not use them to promote IEMS without the school’s written agreement.

What is ours

The software, the design and the IEMS name and marks belong to VitalClick Technologies (Pty) Limited. Your school is licensed to use the service for the term it has bought, and you are licensed to use it as your school directs. Nothing here transfers ownership of the software, and it may not be copied, decompiled or resold.

Availability

We work to keep the service up and we take backups, but no online service is available without interruption. Maintenance, a supplier outage or a network failure between you and us can all take it away for a time. Where a school has an agreed service level, that agreement sets what we owe it.

The app is built to survive a poor connection: a teacher can mark a register offline and it syncs later. That is not a promise that everything works offline — most screens need the network.

Fees and payments

The app shows fee statements, balances and wallet balances. It does not take payment. Pay your school as it directs — by transfer, at its office, or through the payment page on its own IEMS portal. Fees are set, billed and collected by your school, and questions about an amount are for the school, not for us. Separately, a school pays VitalClick Technologies (Pty) Limited a subscription for the platform; that is between the school and us, and does not appear here.

Third-party services

The apps are distributed through the Apple App Store and Google Play, and their terms apply to the download as well as ours to the use. Messages reach you through email, SMS, WhatsApp and push providers, and payments through your school’s payment provider. We choose these suppliers carefully and remain responsible for the service, but we do not control their networks.

Liability

The service is provided as it is. To the fullest extent the law allows, VitalClick Technologies (Pty) Limited is not liable for indirect or consequential loss, for lost profits, or for loss arising from a decision taken on information a school entered incorrectly. Nothing here excludes liability that cannot lawfully be excluded — including for death or personal injury caused by negligence, or for fraud. Where a school has an agreement with us, the liability cap in that agreement applies.

Suspension

We may suspend an account, or a whole school, where it is being used to break these terms, where it puts the platform or other schools at risk, or where a school’s subscription goes unpaid after we have written to it. Suspension locks access; it does not delete the school’s data, and paying or resolving the matter restores it.

Governing law

These terms are governed by the law of South Africa, and the courts of South Africa have jurisdiction — except where your school’s own agreement with us names another forum, or where the law of the country you live in gives you rights you cannot be asked to give up.

Changes to these terms

We may change these terms as the service changes. The date at the top is the date of the current version, and material changes are sent to school administrators. Continuing to use the service after a change means you accept it.
